The Process:

 

  • Careful in-depth analysis of client companies’ management, business model, financial situation, products, technologies and market size.
  • Based on such analysis, the establishment of realistic goal and objectives of the company.
  • In-depth study and analysis of the market potential of the products or services of the company in US.
  • Determination of the need of financial resources in the short-term and long-term.
  • Development of a realistic and detailed business plan for growth and also for future fundraising.
  • Seeking and selection of a potential public shell if the company desire to go through RTO that matches the needs of the company.
  • Extensive and careful due diligence on the public shell companies or merging partners, utilizing all available sources such as SEC, lawyers, CPAs, existing shareholders and customers.
  • Careful analysis of pre-merger and post-merger capitalization structure, keeping in mind the goal of the client company.
  • Research of the available sources of capital under the capitalization structure of the client company.
  • Seeking out of and selection of competent and experienced corporate lawyers, CPA, Public Relations/Investor Relation firm with experience in public companies including SEC matters and related.
  • Stanford Venture Group will ask the client companies to adhere the principles of “ FULL DISCLOSURE” in the management of pre-investment, post-investment and post-merger company if any.
